@rysiek Yes....but one reason Tesla moved their domicile to Texas was to make it harder to sue and, if sued, harder to win. There are some other options, and no one would say the Delaware courts are shareholder friendly, but they did overturn the earlier ridiculous pay plan ($56 billion). In this case, the fact that the award was specifically designed to circumvent a shareholder vote and is explicitly contrary to the language of the plan in place means that a lawsuit is likely and we can cross our fingers that they get an honest judge.
